1. About This Agreement
In this Academy Agreement, "you", "your" and "the Academy" mean the organisation that holds the academy account; "Teacherwave", "we", "us" and "our" mean the operator of the Platform identified in section 16; and "the Platform" means the Teacherwave website, applications and related services.
Teacherwave is software your academy uses to run its own teaching. It is not a marketplace, an agency or an introduction service. We do not find you students or tutors, we do not list your academy or its tutors in any directory, and we take no part in the arrangements between your academy, its tutors and the people they teach.
This Academy Agreement supplements the general Terms and Conditions. Where there is any conflict between the two in respect of academies, this Academy Agreement prevails to the extent of the conflict. Each tutor in your academy separately accepts the Tutor Agreement, which governs how they teach.
You accept this Academy Agreement when an admin of your academy accepts the rules summary the Platform shows on first sign-in, and each time your academy continues to use the Platform. The person who accepts it confirms they are authorised to do so on the academy's behalf.
2. What an Academy Is Here
An academy is an organisation account with two kinds of people in it: admins, who run it, and tutors, who teach. The academy itself is not a user and cannot sign in; every action is taken by one of its people, under their own account.
The academy holds the subscription, owns the shared library of learning plans, tests and questions, and decides which tutor each student is linked to. Everything else — the lessons, the classroom, the marking, the messages and the records of each student's learning — belongs to the tutor who does the teaching, and stays with that tutor.
Your academy is responsible for everything done through the accounts in it, including by people whose employment or engagement with you has ended and whose access you have not yet removed.
3. Your Admins and Your Tutors
An admin account runs the academy and cannot teach. Someone who both administers your academy and teaches for it needs two accounts, with two different email addresses. Your academy must keep at least one admin at all times, and an admin cannot remove their own account.
Admins and tutors join only by invitation from one of your admins. An invitation is a single-use link, valid for 14 days, sent to the address your admin entered. An address that already has a Teacherwave account of any kind cannot be invited; the person needs an address that does not.
Your tutors keep their own professional obligations under the Tutor Agreement, including delivering the lessons they book and meeting any requirements for teaching a child. Nothing in this Agreement makes Teacherwave your tutors' employer, agent or supervisor, and nothing in it makes us responsible for their teaching.
4. Your Subscription, Seats and What They Cost
Your academy's subscription is €39.99 per month, which includes two tutor seats, plus €14.99 per month for each seat beyond those two. While the founding offer is open, an academy that subscribes pays a €29.99 per monthfounding base price instead, with €9.99 per month for each seat beyond the two, and keeps both rates for as long as its subscription continues. The founding offer is available for a limited time and we may close it at any moment; closing it changes nothing for an academy already subscribed on it. The first month is free and no card is taken to start it.
A seat is taken by either of two things:
- a tutor who is currently in your academy; or
- a tutor invitation you have sent that is still open.
An invitation takes its seat from the moment it is sent, and frees it when it is revoked, when it expires, or when the tutor who accepted it is removed. That is deliberate: an academy that could hold open invitations at no cost would be holding seats it was not paying for. An academy may hold at most 100 seats.
Seat changes are never pro-rated in either direction. A seat added part-way through a billing period is not charged until your next invoice, and a seat freed part-way through a period stays paid for until that period ends. Cancelling takes effect at the end of the period you have paid for, and there is no pro-rated refund of a part-used month.
Payment is taken by our payment provider, Stripe, from the card an admin supplies. Your admins can see and change the card, and read every invoice, from the academy's own subscription settings. Your tutors never see any of it.
5. Payments Between You and Your Students
Your students pay your academy, or your tutors, directly — by whatever method you arrange with them. That money never passes through Teacherwave. We do not collect it, hold it, record it, report it or take any share of it, and the Platform stores nothing about what any student owes or has paid.
It follows that we cannot refund a student, recover an unpaid lesson, or decide a disagreement about money between your academy and anybody else. Those matters are between you and the people you teach.
Your academy is responsible for its own invoicing, receipts and tax obligations arising from what your students pay you, and for keeping your own records of them.
6. Students and Your Tutors' Join Links
There is no public registration for students and no directory of tutors. A student joins by opening one tutor's permanent join link, which creates the link between that student and that tutor.
In an academy, those join links belong to the academy. Only your admins can see a tutor's link, and it is your admins who pass it to a student; the tutor never sees their own link and cannot change it. Teacherwave sends nothing to a student on your behalf. Anyone who opens a tutor's link sees that tutor's name, photo, headline, what they teach, and your academy's name.
An admin can reset a tutor's link. Doing so stops every copy of the old link working, permanently — including copies you have already sent to students who have not yet joined.
Only your admins can remove a student from one of your tutors, or restore them. Removing a student from a tutor declines that student's pending lesson requests with them and takes the student out of that tutor's groups; lessons already booked go ahead. Your admins can also open each student's progress page, which shows that student's progress with your academy's tutors only, and never a tutor's private notes.
7. Your Academy's Library
The learning plans, tests and questions in your academy's library belong to the academy. Your admins write them; your tutors read them and assign them to their own students, and cannot change them.
Assigning takes a copy. A learning plan or a test assigned to a student is that student's and their tutor's from then on: a later edit to the academy's version never rewrites work a student is part-way through, and deleting the academy's version never removes a copy already assigned.
You are responsible for the content your academy puts into its library, including that you hold the rights to it. We claim no ownership of it. If you use an AI assistant of your own to draft material, what you share with that assistant is between you and that service: Teacherwave sends nothing to any AI service on your behalf, and everything you import is yours to check before you confirm it.
8. Lessons, Classes and Attendance
Lessons are booked and run by your tutors, not by your admins. A student's request for a one-to-one lesson holds no time until their tutor approves it; a lesson a tutor books themselves is booked straight away. A group class is booked by the tutor and only that tutor can move or cancel it — a student cannot cancel their place in one, even for a single week.
Attendance is recorded by the tutor who taught the lesson, and is part of that student's record. Your admins do not book, move, cancel or mark lessons, and do not see your tutors' calendars or their messages with students.
9. Removing a Tutor or an Admin
Removing a tutor from your academy does not delete their account. They keep their account, their students, their lessons and every copy of a learning plan or test already assigned; those students leave your academy's view with them, and your admins can no longer reach them. The tutor loses access to your academy's library, their seat is freed, and their account becomes read-only until they take out a subscription of their own.
If you want a tutor's students to stay with your academy, arrange for them to join another of your tutors before you remove the first one.
Removing an admin deletes that admin's account, because an admin account owns nothing of its own — the library and the subscription belong to the academy. The last remaining admin cannot be removed, and nobody can remove themselves.
10. Data Protection and Safeguarding
Your academy and its tutors handle personal information about students lawfully and only for teaching them. Where a student is under 18, a parent or guardian who is at least 18 sets up and supervises that account, and your academy is responsible for meeting any safeguarding requirements that apply to your teaching.
Your admins can see which students are linked to your tutors, each student's name and email address, and each student's progress with your academy's tutors. They cannot see your tutors' private notes, their messages with students, or their calendars.
What the Platform collects and why, and who it is shared with, is set out in the Privacy Policy. Your academy must make sure the students and guardians it deals with are told that your academy uses Teacherwave and what that means for them, including section 11 below.
11. Recording of Lessons
Lessons taught in the Platform's classroom are recorded automatically, including group classes, for safeguarding, security and quality. Recording starts with the room, and nobody in the room — your tutor included — can pause or stop it.
Neither your tutors, your admins nor your students can play back, download or share a recording. Recordings are kept until the account they belong to is erased, and are handled in line with the Privacy Policy.
Your academy must tell its students, and the parents or guardians of students under 18, that lessons are recorded on this basis before those lessons take place.
12. Conduct and Professional Standards
Your academy, its admins and its tutors use the Platform in good faith, treat students respectfully, and do not use it to send unsolicited messages, to impersonate anybody, or to share material they do not have the right to share.
Your academy is responsible for the checks, qualifications, insurance and registrations that apply to the teaching it arranges, including any required for teaching a child. Teacherwave does not carry out those checks and does not verify your academy or its tutors.
13. Liability and Indemnity
The Platform is provided as software. We do not guarantee that it will be available without interruption, and we are not a party to the teaching your academy arranges or to any arrangement between your academy, its tutors and its students.
To the fullest extent permitted by law, our total liability to your academy in connection with the Platform in any twelve-month period is limited to the subscription fees your academy paid us in that period. We are not liable for lost profits, lost business, or loss of goodwill, or for anything arising from the conduct of your admins, your tutors or your students.
Your academy indemnifies us against claims arising from the teaching it arranges, from its handling of students' personal information, from the content it puts into its library, and from any breach of this Agreement by your academy or the people in it. Nothing in this section limits liability that cannot be limited by law.
14. Suspension, Read-Only Access and Termination
If your academy's free month or a paid period ends without a subscription, your academy's account becomes read-only. Read-only means exactly that: every tutor in your academy keeps everything they have, their booked lessons go ahead, the classroom still opens and their students can still message them — but nobody in your academy can add anything new until an admin subscribes. Nothing is deleted.
Your academy can cancel at any time from its subscription settings. Cancelling takes effect at the end of the period you have paid for.
We may suspend or end your academy's access where this Agreement or the Terms and Conditions are breached, or where we are required to by law. If your academy's account is deleted, its tutors keep their accounts and their students on the basis set out in section 9.
15. General Legal Terms and Governing Law
We may change this Agreement. Where a change materially affects your academy's rights or obligations, we will ask your admins to accept the new version before they continue to use the Platform.
If any part of this Agreement is found unenforceable, the rest continues to apply. A delay in enforcing a term is not a waiver of it. Your academy may not transfer this Agreement without our written consent.
This Agreement is governed by the laws of Greece, and the courts of Thessaloniki, Greece have exclusive jurisdiction over any dispute arising from it.
