1. Terms and Conditions
1.1 Introduction
These Terms and Conditions ("Terms") govern the use of TeacherWave ("TeacherWave", "the Platform", "we", "us", "our"), an online tutoring marketplace connecting students with independent tutors.
By accessing, registering, subscribing, booking lessons, creating a tutor profile, messaging users, or using any part of TeacherWave, you agree to these Terms. If you do not agree, you must not use TeacherWave.
These Terms apply to students, tutors, parents or guardians, business users, visitors, and any other person using the Platform.
1.2 Nature of TeacherWave
TeacherWave is a digital marketplace and platform provider. TeacherWave may provide:
- tutor profiles;
- student accounts;
- tutor search and filters;
- messaging tools;
- booking tools;
- payment facilitation;
- platform subscriptions;
- progress tracking;
- CEFR-based learning guidance;
- level checks and progress tests;
- online classroom access;
- tutor verification tools;
- business learning tools;
- AI-assisted learning support.
TeacherWave does not generally provide tutoring services directly. Tutors provide tutoring services independently. TeacherWave is not:
- an employer of tutors;
- a formal school, university, or accredited education institution;
- responsible for guaranteeing fluency, exam results, job outcomes, immigration outcomes, or specific academic results;
- automatically responsible for the actions, omissions, teaching quality, attendance, or behaviour of independent tutors.
1.3 Marketplace and Intermediary Role
TeacherWave acts as an intermediary marketplace between students and tutors. Unless clearly stated otherwise:
- TeacherWave provides platform access and tools;
- tutors provide tutoring services independently;
- students choose tutors independently;
- the tutoring relationship is between student and tutor;
- TeacherWave may assist with disputes but is not automatically a party to the lesson contract.
TeacherWave may set rules, quality standards, price rules, verification requirements, refund expectations, and conduct standards to protect users and maintain platform quality. These controls do not create an employment relationship with tutors.
Students may also enter into a separate subscription or contractual relationship directly with TeacherWave for platform access and platform-related services. Where applicable, students may therefore have:
- a direct subscription or contractual relationship with TeacherWave relating to platform access, subscriptions, platform tools, and marketplace services; and
- a separate direct contractual relationship with tutors relating to tutoring services, lessons, scheduling, educational support, and lesson-related matters.
TeacherWave's subscription relationship with students is separate from the tutor's lesson relationship with students unless expressly stated otherwise. Tutor profiles, booking pages, checkout pages, or payment areas may identify that tutoring services are provided by independent tutors and not by TeacherWave directly. TeacherWave provides the marketplace, platform tools, subscriptions, payment facilitation, support, and safety systems, while tutors remain responsible for delivering their own tutoring services.
1.4 Eligibility and Accounts
Users must be at least 18 years old or use TeacherWave with permission and supervision from a parent or legal guardian. Parents or guardians are responsible for minors using TeacherWave, including account use, tutor selection, payments, supervision, and online safety.
Users must provide accurate, complete, and current information. TeacherWave may suspend or terminate accounts containing false, misleading, incomplete, or fraudulent information. Users are responsible for keeping login details secure and for all activity under their account.
Accounts are personal, non-transferable, and may only be used by the registered account holder. Users must not share login credentials or transfer accounts without TeacherWave's written consent.
2. Student Subscriptions
2.1 Student Subscription Model
TeacherWave may charge students a recurring platform subscription fee for access to TeacherWave features. This fee is separate from tutor lesson fees unless clearly stated otherwise. A student subscription may include access to:
- tutor profiles;
- tutor messaging;
- tutor search;
- booking tools;
- learning plan tools;
- progress tracking;
- level checks;
- support features;
- other platform features.
Subscriptions may be monthly, annual, promotional, founding-student discounted, or otherwise structured as displayed at checkout.
2.2 Automatic Renewal
Student subscriptions renew automatically unless cancelled before the renewal date. Before payment, TeacherWave will display the subscription price, billing period, and main subscription conditions. Failed payments may result in suspension or loss of access.
2.3 Subscription Cancellation
Students may cancel future subscription renewals through their account settings or another cancellation method provided by TeacherWave. Unless applicable law requires otherwise:
- cancellation stops future renewals;
- cancellation does not automatically refund previous subscription payments;
- access may continue until the end of the current billing period;
- after access ends, students may lose access to certain platform features, messages, progress tools, booking tools, and platform protections.
Students must not cancel or avoid subscription payments for the purpose of moving lessons off-platform or avoiding TeacherWave fees.
2.4 TeacherWave Subscription Price Changes
TeacherWave may increase, decrease, restructure, or otherwise change student subscription prices from time to time. Where TeacherWave increases the price of an existing paid subscription, TeacherWave will provide reasonable advance notice before the new price applies, unless the change is required urgently by law, tax, payment-provider rules, or exceptional circumstances.
The notice may be provided by email, account notification, website notice, checkout notice, or another reasonable method, and will be given a reasonable time in advance — and at least 30 days before the change takes effect, save where a shorter period is required by law, tax, or payment-provider rules. The notice will clearly state the new price, the date it takes effect, and the student's right to reject it.
A student who does not agree to a price increase may cancel the subscription, without penalty, before the new price takes effect; in that case the existing price continues to apply until the end of the current paid period. Where the student does not cancel before the new price takes effect, and only where permitted by applicable law and the student was clearly informed of the right to reject the change, continued use of the subscription after the renewal date may be treated as acceptance of the new price. Nothing in this section affects mandatory consumer rights.
Promotional, founding-student, lifetime-discount, early-access, or trial-lesson offers may be subject to their own specific terms.
Founding-member and lifetime-discount offers are non-transferable and apply only while the account remains active and in good standing. TeacherWave may withdraw such benefits in cases of fraud, abuse, chargeback abuse, duplicate accounts, or breaches of these Terms.
2.5 Trial Lessons
Tutors offer a reduced-price trial lesson so students can assess tutor fit before committing to ongoing lessons with that tutor. Trial lessons are always paid: they are not free and are not complimentary. Each tutor sets their own trial rate, which must be at least 50% of that tutor's standard lesson rate and no less than €10, and may not exceed their standard rate.
The trial rate shown at booking is the amount the student pays. Trial lessons are intended for needs analysis, goal setting, level discussion, and tutor compatibility assessment.
Unlike ongoing lessons and subscriptions, where the tutor receives the full amount paid, revenue from trial lessons is shared equally between the tutor and TeacherWave. This does not change the price the student pays. Trial lesson pricing, minimums, and availability may be modified at any time in accordance with these Terms.
2.6 Subscription Access Restrictions
If a required student or tutor subscription expires, payment fails, or access must be restricted because of fraud, chargeback abuse, serious breach, safeguarding risk, off-platform abuse, or an attempt to bypass the TeacherWave subscription model, TeacherWave may immediately restrict or suspend access to messaging, bookings, classroom access, tutor contact features, progress tracking, dashboards, and other subscription-related services until the issue is resolved or the subscription is reactivated.
2.7 Lesson Credits and Rollover
Where a tutor subscription provides lessons on a credit or allowance basis, you have a set number of lessons (credits) to use within each paid billing cycle. Unused lessons should be booked and used before the end of the cycle.
While you remain subscribed to the same tutor, up to two (2) unused class credits (each a standard 50-minute lesson) may roll over to the next billing cycle. Any further unused lessons within a paid cycle do not carry over, because you had access to book and use them during that cycle.
Rollover limits and non-rollover of unused credits do not affect your right to a refund or fair resolution for unused, paid lessons where you switch tutors, where a lesson cannot reasonably be delivered, where you cancel with lessons more than 12 hours away that you can no longer access, or where required by law (see section 4). Nothing in this section affects mandatory consumer rights.
2.8 Cancelling the Platform Subscription
Cancelling a TeacherWave platform subscription stops future renewals and immediately ends your access to the Platform: you are logged out and must reactivate the subscription to regain access. TeacherWave may also restrict or suspend access where reasonably necessary to protect the Platform, users, tutors, payments, safeguarding, legal compliance, or the TeacherWave subscription model.
Before you cancel, TeacherWave informs you of any remaining lessons, credits, or balance and warns you that you will lose access to the Platform immediately on cancellation. If you reactivate your TeacherWave subscription before the end of the day on which you cancel, you can continue as normal and your remaining classes and balance are retained.
Your remaining classes, credits, and balance are not confiscated or removed by TeacherWave; they remain available until the end of the day on which you cancel. If you do not reactivate your TeacherWave subscription by the end of that day, you choose to forfeit any remaining class balance or credits.
Cancelling the TeacherWave platform subscription does not cancel any separate tutor-facing lesson subscription, lesson package, or paid lesson arrangement. TeacherWave platform fees are separate from tutor lesson payments, and you may see them separately in your payment area (for example, "TeacherWave Subscription" and "Tutor Subscriptions"). To obtain a refund for unused tutor lessons rather than forfeiting them, cancel the relevant tutor subscription, which is handled with your tutor in good faith (a refund applies where you cancel more than 12 hours before the affected lessons — see sections 2.7 and 4).
Students must not cancel, avoid, or fail to maintain a required TeacherWave platform subscription in order to continue lessons privately, avoid TeacherWave fees, bypass platform protections, or move a TeacherWave tutor relationship off-platform.
Nothing in this section affects mandatory consumer rights or any refund, rescheduling, or fair-resolution rights relating to tutor-facing lesson payments.
3. Tutors
3.1 Independent Tutor Status
Tutors are independent service providers. Tutors are not employees, workers, agents, franchisees, legal representatives, or partners of TeacherWave. Tutors are responsible for:
- lesson preparation;
- lesson delivery;
- teaching quality;
- professional conduct;
- accurate profiles;
- availability;
- taxes and declarations;
- invoices where required;
- insurance where required;
- student privacy;
- refunds where necessary;
- compliance with applicable laws.
TeacherWave may require tutors to meet quality standards, verification requirements, qualification standards, language-level standards, methodology checks, profile requirements, and pricing rules. These standards protect the Platform and do not create employment.
Tutors warrant that profile information, qualifications, certifications, experience, pricing, availability, and other information provided through the Platform are accurate, complete, and not misleading.
3.2 Tutor Verification and Standards
TeacherWave may require tutors to provide:
- identity information;
- qualification evidence;
- TEFL/TESOL or equivalent certification where required;
- teaching experience details;
- language proficiency evidence;
- profile videos;
- methodology checks;
- availability information.
Tutors must hold a minimum 120-hour TEFL/TESOL certification or an approved equivalent, unless TeacherWave grants a written exception. TeacherWave may require evidence of qualifications, teaching experience, language ability, methodology knowledge, and suitability before approving or continuing a tutor profile.
TeacherWave may approve, reject, suspend, remove, or restrict tutors where necessary to protect students, platform quality, legal compliance, or TeacherWave's reputation.
Verification checks performed by TeacherWave are limited in scope and do not constitute a guarantee of a tutor's identity, qualifications, competence, suitability, safety, legality, professionalism, or future conduct. Unless expressly stated, TeacherWave does not guarantee that criminal-background checks, barred-list checks, police checks, or equivalent safeguarding checks have been completed.
TeacherWave has no obligation to verify a tutor's tax status, business registration status, licensing status, VAT status, regulatory compliance status, or ongoing legal compliance unless required by law.
3.3 Tutor Pricing and Price Increase Requests
Tutors may set lesson prices subject to TeacherWave's platform rules, minimum price rules, promotional rules, and technical limitations. TeacherWave may also offer optional business-to-business (B2B), corporate, enterprise, school, or organisational learning programmes using fixed-price lesson structures, package pricing, or agreed commercial pricing models. Participation in B2B or fixed-price programmes is entirely optional unless a tutor expressly opts in.
Tutors may only participate in certain B2B or fixed-price programmes where:
- the tutor is on an eligible TeacherWave subscription tier or commercial plan;
- the tutor meets any additional requirements set by TeacherWave;
- the tutor voluntarily opts in to the programme.
Tutors are not required to participate in fixed-price B2B classes, corporate pricing structures, or enterprise programmes. TeacherWave may determine:
- which tutors are eligible for B2B programmes;
- fixed lesson pricing structures;
- business package structures;
- company billing arrangements;
- enterprise programme rules;
- availability requirements for participating tutors.
Tutors may request or apply lesson price increases through the Platform where this feature is available. TeacherWave may approve, reject, limit, delay, or require notice for tutor price increases to protect students, avoid misleading pricing, maintain transparency, and ensure platform stability. Where a tutor increases prices:
- existing students should receive reasonable notice where practical;
- the new price should not apply unfairly to already confirmed bookings unless the student agrees;
- future bookings may be charged at the updated price;
- promotional or discounted prices must be displayed clearly.
Tutors must not mislead students about prices, discounts, trial lessons, packages, or future price changes.
Tutors may offer promotional or discounted introductory lessons subject to TeacherWave pricing rules, minimum pricing requirements, and promotional limitations.
3.4 Tutor Subscriptions and Billing
Tutor access to the Platform is provided on a monthly subscription basis. A tutor securely saves a payment card when setting up their account but is not charged at that time. A tutor's monthly subscription only begins once a student establishes a recurring lesson subscription with them, with the first charge falling on the first day of the following month; it then renews automatically each month. Trial lessons do not start a tutor's billing, and a tutor to whom no student ever subscribes is not charged. Cancelling before the first subscription student means no charge; cancelling afterwards stops future renewals and takes effect at the end of the period already paid for.
TeacherWave charges tutors no commission on regular lessons or on recurring lesson subscriptions — tutors receive 100% of those payments. The sole exception is trial lessons, of which TeacherWave retains 50% of the fee, the tutor receiving the other 50%. The trial price shown to a student is the amount the student pays; the split is applied automatically when the payment is taken and does not change the amount the student is charged. If a trial lesson is refunded, TeacherWave's share is refunded to the student as well. Full details are in the Tutor Agreement.
TeacherWave may modify tutor subscription pricing, benefits, tier structures, limits, eligibility requirements, and features upon reasonable notice.
4. Lessons, Bookings, Payments and Refunds
4.1 Lesson Bookings
Students may book lessons with tutors through TeacherWave where booking tools are available. Students are responsible for checking tutor availability, price, lesson duration, profile details, and cancellation conditions before booking. Tutors are responsible for keeping availability accurate and attending confirmed lessons on time.
4.2 Payments
Payments may be processed by third-party payment providers such as Stripe or another provider. Payment providers may apply their own terms, verification checks, fraud checks, payout rules, and processing requirements.
TeacherWave is not responsible for bank delays, payment-provider outages, card declines, currency conversion fees, chargeback decisions, or payment failures outside its reasonable control. Tutors are responsible for their own tax, accounting, social security, insurance, invoicing, and income reporting obligations unless applicable law says otherwise.
4.3 Tutor Payouts and Withdrawal Requests
Payments and payouts are processed through TeacherWave's third-party payment provider (such as Stripe) in accordance with that provider's terms and applicable law.
Tutor payouts are made on request. A tutor requests a payout or withdrawal of their available balance through the Platform. Provided there are no outstanding refund requests, disputes, chargebacks, or other issues affecting the tutor's account, the requested payout will be processed.
Where there are outstanding refund requests, disputes, chargebacks, fraud or compliance concerns, or other issues affecting the tutor's account, these must be resolved before a payout is released. TeacherWave may pause, withhold, reduce, reserve, or set off a payout to the extent reasonably necessary to address such issues, may request evidence from the tutor and student during any review, and will aim to act reasonably and in good faith.
4.4 Refund Policy: Good-Faith Tutor Obligation
Tutors must act in good faith towards students when dealing with cancellations, refunds, missed lessons, unused lessons, subscription cancellation situations, technical issues, and disputes. Good faith means acting honestly, fairly, reasonably, and not taking unfair advantage of a student. Tutors should refund, reschedule, replace, or otherwise resolve a lesson issue where it is fair and necessary to do so. Tutors must not unfairly keep payment for lessons that cannot reasonably take place, especially where the cancellation is made more than 12 hours before the scheduled lesson and the student has not acted in bad faith.
4.5 Student Cancels More Than 12 Hours Before Lesson
If a student cancels a booked lesson more than 12 hours before the scheduled start time, the tutor is expected to provide a fair resolution. A fair resolution may include:
- refunding the lesson fee;
- rescheduling the lesson;
- issuing a replacement lesson credit;
- agreeing another fair solution with the student.
Where a refund is necessary, the tutor must refund the student through the original paying account where technically possible, within 48 hours of receiving the request (provided this falls within any legally required timeframe), and must provide TeacherWave with evidence of the transaction. Without that evidence the refund is treated as not actioned. TeacherWave may also request proof of refund where a dispute arises.
Where a tutor repeatedly refuses to act in good faith regarding legitimate refunds, cancellations, or fair dispute resolutions, TeacherWave may intervene to protect students and the integrity of the Platform. Such intervention may include:
- reviewing lesson records, communications, attendance logs, and payment evidence;
- temporarily restricting tutor payouts where legally and technically possible;
- contacting payment providers or financial institutions involved in the transaction for dispute-related evidence, clarification, fraud prevention, chargeback assistance, or investigation purposes where legally permitted;
- assisting students in submitting legitimate payment disputes where appropriate;
- suspending or terminating tutor accounts for repeated bad-faith conduct.
TeacherWave does not guarantee that banks or payment providers will reverse or recover funds and is not responsible for independent decisions made by financial institutions.
4.6 Student Cancels Less Than 12 Hours Before Lesson
If a student cancels less than 12 hours before the scheduled lesson start time, the tutor may decide whether to refund, reschedule, or treat the lesson as chargeable, unless applicable law or a specific TeacherWave policy requires otherwise. Even with late cancellations, tutors should act reasonably and in good faith in genuine emergencies, serious illness, major technical failures, or exceptional circumstances.
4.7 Cancelling a Tutor Subscription With Remaining Lessons
If a student cancels a tutor subscription and has unused lessons (credits) or pre-booked lessons that are more than 12 hours away at the time of cancellation, the student is entitled to a fair resolution and the tutor must act in good faith. This is handled through a refund request that the tutor reviews; where necessary the tutor should provide a fair resolution, such as:
- refunding the affected lesson fee;
- rescheduling before access ends;
- issuing a replacement lesson credit where technically possible;
- agreeing another fair solution.
Where the cancellation is made more than 12 hours before the affected lessons, the tutor should refund the unused lessons (valued at the applicable rate), and must not unfairly retain payment for lessons that can no longer reasonably take place, provided the student has not acted in bad faith. Students must not cancel in order to avoid TeacherWave fees, pressure tutors into unfair refunds, or continue lessons privately outside TeacherWave. Cancelling the TeacherWave platform subscription is dealt with separately in section 2.8.
4.8 Tutor Cancels Lesson
If a tutor cancels a confirmed lesson, the tutor should provide a fair resolution, such as:
- rescheduling;
- refunding;
- offering a replacement lesson at no extra cost.
Repeated tutor cancellations may result in warnings, reduced visibility, account review, suspension, or removal from TeacherWave.
4.9 No-Show Rules
If a student does not attend a lesson without reasonable notice, the tutor may treat the lesson as chargeable, subject to applicable law and platform policy. If a tutor does not attend a lesson without reasonable notice, the student should receive a fair resolution, including refund or rescheduling where appropriate.
4.10 Technical Problems
Where a lesson cannot take place due to technical issues, TeacherWave may review available evidence, including messages, booking records, attendance logs, classroom entry records, screenshots, and payment data. If the issue is mainly caused by the tutor, the tutor should provide a fair resolution. If the issue is mainly caused by the student, the tutor may decide whether to refund or reschedule. If the issue is caused by TeacherWave or a third-party system, TeacherWave may assist in finding a fair solution but does not guarantee compensation unless required by law.
4.11 Subscription Refunds
TeacherWave subscription fees are separate from tutor lesson fees. Students may simultaneously maintain:
- a subscription relationship with TeacherWave for access to the Platform and related marketplace services; and
- a direct paid lesson relationship or subscription arrangement with an individual tutor for educational services.
Unless expressly stated otherwise, payments made to tutors are separate from payments made to TeacherWave. Unless required by law or expressly promised:
- subscription payments are not automatically refundable after payment;
- cancellation stops future billing;
- refunds may be considered in good faith for duplicate billing, technical failure, fraud, or other fair reasons.
4.12 Refund Abuse
TeacherWave may restrict, suspend, or terminate accounts where a user abuses refunds, creates false disputes, misuses chargebacks, threatens bad reviews for refunds, repeatedly cancels in bad faith, or manipulates tutors, students, or the Platform.
5. Off-Platform Transactions and Anti-Bypass Rules
5.1 No Circumvention
Students and tutors must not try to bypass TeacherWave. TeacherWave invests in user acquisition, tutor verification, technology, payments, support, progress tracking, trust, and dispute systems. Users must not use TeacherWave to find each other and then avoid the Platform.
5.2 Prohibited Conduct
Users must not:
- request or offer direct payments outside TeacherWave;
- exchange payment details to avoid TeacherWave fees;
- use bank transfer, cash, PayPal, Revolut, Wise, cryptocurrency, or other payment methods to bypass TeacherWave;
- encourage a student to cancel their subscription to continue privately;
- encourage a tutor to accept payment privately;
- move a TeacherWave relationship outside the Platform to avoid fees, subscriptions, payment systems, or rules;
- use TeacherWave messaging to arrange off-platform lessons;
- disguise off-platform arrangements as personal communication where the purpose is fee avoidance;
- pressure another user to bypass TeacherWave;
- share contact details primarily to avoid TeacherWave.
Students specifically agree that they will not try to bypass the Platform, avoid the TeacherWave subscription, or arrange direct payment with tutors introduced through TeacherWave. Tutors specifically agree that they will not solicit TeacherWave students for off-platform lessons or payments.
Users must not create multiple accounts, use alternative identities, share accounts, or otherwise attempt to avoid subscription fees, platform restrictions, verification requirements, or payment obligations.
5.3 Consequences of Bypassing TeacherWave
TeacherWave may use warnings, pop-ups, acknowledgements, account confirmations, message review systems, and monitoring tools where legally permitted to prevent circumvention. Violations may result in:
- warning;
- restricted messaging;
- suspension;
- permanent termination;
- removal of tutor profile;
- reduced tutor visibility;
- refusal of platform support for related disputes;
- loss of progress tracking and booking protections;
- legal action where appropriate.
Users understand that off-platform arrangements may remove access to TeacherWave protections, including dispute support, refund assistance, booking evidence, classroom logs, payment records, and progress tracking.
6. Classroom, Progress Tracking and Educational Tools
6.1 Classroom Access
TeacherWave may provide online classroom access through integrated or third-party tools. Users are responsible for having a suitable device, internet connection, browser, microphone, camera where needed, and quiet learning environment. TeacherWave does not guarantee uninterrupted access, perfect video/audio quality, or third-party service availability.
Where legally permitted and technically available, TeacherWave may log classroom entry, exit, attendance, and lesson status for dispute resolution, quality control, fraud prevention, and platform improvement.
TeacherWave may record, store, review, or access lesson recordings where legally permitted and reasonably necessary for safeguarding, dispute resolution, fraud prevention, quality review, legal compliance, or platform protection.
Where recordings are used, TeacherWave will provide appropriate notice and obtain any legally required consents. Access to recordings will be limited to authorised persons with a legitimate need to review them. Recordings may be retained for a limited period as described in the Privacy Policy, unless longer retention is required for safeguarding, disputes, legal claims, investigations, or compliance.
Users must not make, share, publish, distribute, or misuse lesson recordings outside the Platform without all required permissions and consents. TeacherWave is not responsible for recordings made by users outside the Platform or for the misuse, distribution, storage, publication, or sharing of recordings by tutors, students, parents, guardians, or third parties.
6.2 Progress Tracking and Tests
TeacherWave may provide learning plans, CEFR guidance, progress tracking, level checks, tests after completed lesson milestones, tutor feedback tools, and weakness identification. These tools are guidance only and do not guarantee official CEFR certification, exam success, immigration results, employment outcomes, academic grades, or fluency within a specific timeframe.
6.3 AI-Assisted Tools
TeacherWave may use AI-assisted tools to support learning plans, feedback, exercises, recommendations, or platform operations. AI outputs may be inaccurate, incomplete, or unsuitable. Users and tutors should use human judgment. TeacherWave's model prioritises human tutoring supported by technology, not replacement of tutors.
AI-generated content, recommendations, feedback, exercises, and outputs may contain inaccuracies, omissions, bias, or errors and should not be relied upon as professional, legal, tax, accounting, financial, medical, educational, employment, or business advice.
7. User Conduct and Safety
Users must act lawfully, respectfully, and professionally. Users must not:
- harass, threaten, bully, abuse, or discriminate;
- upload illegal, harmful, obscene, defamatory, or infringing content;
- impersonate others;
- create fake accounts;
- scrape or harvest data;
- reverse engineer the Platform;
- interfere with security;
- distribute malware;
- manipulate rankings, reviews, or tests;
- misuse messaging tools;
- contact minors inappropriately;
- use TeacherWave for romantic, sexual, exploitative, or non-educational purposes;
- request inappropriate personal information;
- misuse personal data obtained through the Platform.
TeacherWave may investigate and act where user conduct creates legal, financial, safety, reputational, or operational risk.
8. Reviews and Feedback
TeacherWave may allow reviews, ratings, testimonials, or feedback. Reviews must be honest, genuine, relevant, and based on actual experience. Users must not post fake reviews, buy reviews, sell reviews, threaten negative reviews for refunds, review bomb, defame users, or manipulate ratings.
Users must not manipulate ratings, reviews, testimonials, attendance records, lesson completion records, or progress data. TeacherWave may remove or restrict reviews and records that appear fake, abusive, irrelevant, unlawful, misleading, manipulated, or contrary to these Terms.
9. Intellectual Property and Brand Protection
TeacherWave owns or licenses its software, branding, logos, graphics, website content, databases, learning tools, systems, and platform materials. Users may not copy, reproduce, distribute, sell, modify, reverse engineer, or commercially exploit TeacherWave materials without written permission.
Tutors retain ownership of original teaching materials they create, but grant TeacherWave a limited, non-exclusive, worldwide, royalty-free licence to host, display, transmit, and use those materials as necessary to operate and promote the Platform. Users must not upload content that infringes third-party rights.
The TeacherWave name, logos, branding, graphics, platform appearance, trademarks, trade dress, and associated brand elements belong to TeacherWave or its licensors. Users must not:
- copy or imitate TeacherWave branding;
- create misleadingly similar brands, domains, usernames, social media pages, or applications;
- falsely imply affiliation with TeacherWave.
TeacherWave reserves all intellectual property rights not expressly granted.
10. Data Protection and Privacy
TeacherWave processes personal data according to applicable privacy laws, including the GDPR where applicable. TeacherWave may collect and process data necessary for account creation, subscriptions, payments, lessons, support, progress tracking, fraud prevention, legal compliance, analytics, and platform improvement.
Users should read the Privacy Policy for full details, and the Cookie Policy for information about cookies.
Tutors must protect student personal data and must not misuse, export, sell, share, or retain student data outside what is necessary for legitimate tutoring and platform use.
For the purposes of data protection law, TeacherWave is the controller of the personal data it processes to operate the Platform. Each tutor acts as an independent data controller in respect of the personal data they determine the use of when delivering their own tutoring services, and is responsible for complying with applicable data protection law in that capacity. Where a tutor processes personal data solely on TeacherWave's documented instructions, that processing is governed by TeacherWave's data processing terms. TeacherWave and tutors will each provide reasonable assistance to the other in responding to data subject requests and regulatory obligations.
11. Limitation of Liability
To the maximum extent permitted by law, TeacherWave shall not be liable for:
- indirect, incidental, or consequential losses;
- loss of profit;
- loss of data;
- loss of opportunity;
- tutor conduct;
- student conduct;
- educational outcomes;
- exam results;
- employment outcomes;
- third-party service failures;
- payment provider failures;
- internet outages;
- user equipment failure.
Subject to the liabilities that cannot lawfully be limited or excluded (set out at the end of this section), and to the maximum extent permitted by law, TeacherWave's total aggregate liability arising out of or relating to the Platform, these Terms, or any services provided through the Platform shall not exceed the total amount paid directly to TeacherWave by the user during the twelve (12) months immediately preceding the event giving rise to the claim.
TeacherWave does not guarantee uninterrupted availability of the Platform. Users are not entitled to compensation, credits, refunds, lost earnings, lost profits, lost business opportunities, lost learning opportunities, consequential damages, or other losses arising from outages, maintenance, technical failures, hosting failures, cyber incidents, third-party provider failures, internet disruptions, or service interruptions, except where required by law.
TeacherWave is not responsible for the loss, corruption, deletion, unavailability, or inaccessibility of messages, lesson records, progress data, uploaded files, recordings, user content, or other data resulting from technical failures, migrations, backups, outages, cyber incidents, or third-party provider failures.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded. This includes, without limitation, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, and for any rights or remedies that cannot be waived or restricted under mandatory consumer protection law. The limitations and cap above apply only to the extent permitted by law and do not affect a consumer's statutory rights and guarantees.
12. Indemnity
Tutors and business or enterprise users agree to indemnify and hold harmless TeacherWave against claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:
- breach of these Terms;
- unlawful conduct;
- misuse of the Platform;
- infringement of third-party rights;
- tax or legal failures by tutors;
- off-platform circumvention;
- misuse of personal data;
- fraudulent payment activity.
Consumers (students using the Platform for purposes outside their trade, business, or profession) are responsible to TeacherWave only for loss or damage that results from their own breach of these Terms, their negligence, or their unlawful or fraudulent use of the Platform, and only to the extent such loss was reasonably foreseeable. Nothing in this section requires a consumer to indemnify TeacherWave beyond what is permitted by mandatory consumer law.
13. Account Suspension and Termination
TeacherWave may suspend, restrict, or terminate accounts where a user:
- breaches these Terms;
- creates legal or safety risk;
- acts fraudulently;
- abuses refunds or chargebacks;
- attempts to bypass the Platform;
- misuses personal data;
- harms other users;
- harms TeacherWave's reputation or operations.
TeacherWave may remove content, restrict messaging, cancel bookings, or block access where reasonably necessary.
14. Force Majeure
TeacherWave is not liable for failure or delay caused by events outside reasonable control, including natural disasters, war, terrorism, strikes, internet outages, cyberattacks, government action, payment-provider outages, power failures, pandemics, or third-party platform failures.
15. Changes to These Terms
TeacherWave may update these Terms from time to time. Where changes are material, TeacherWave will provide notice where required by law or where reasonably appropriate. Continued use of TeacherWave after updated Terms become effective may be treated as acceptance of the updated Terms.
16. Governing Law, Jurisdiction and Claims
16.1 Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Greece. Where the user is a consumer habitually resident in another country, this choice of law does not deprive the consumer of the protection of any mandatory provisions of the law of their country of residence.
For tutors and business or enterprise users, the competent courts of Ioannina, Greece have exclusive jurisdiction over any dispute arising out of or relating to TeacherWave or these Terms.
For consumers, the courts of Ioannina, Greece have non-exclusive jurisdiction. Nothing in these Terms affects a consumer's right under applicable law to bring proceedings in the courts of their own country of residence, and a consumer may be sued only in the courts of their country of residence where mandatory law so requires.
16.2 Collective Claims Limitation
Where legally permitted, and to the extent allowed by applicable law, users agree to bring claims against TeacherWave in their individual capacity rather than as part of a class, representative, or collective proceeding. This section does not apply where it is prohibited by law, and it does not remove or limit any consumer's right to participate in representative or collective redress mechanisms provided by mandatory law, including under the EU Representative Actions framework as implemented in Greece.
17. Additional Platform Protections
17.1 No Guaranteed Income or Students
TeacherWave does not guarantee:
- tutor income;
- tutor visibility;
- student bookings;
- lesson frequency;
- search ranking position;
- platform growth;
- business opportunities.
Tutor visibility, ranking, recommendations, and featured placement may be influenced by factors including subscription tier, availability, reviews, responsiveness, profile quality, subject demand, student preferences, compliance history, reliability, completed lessons, platform testing, promotional campaigns, technical factors, and commercial factors.
TeacherWave does not guarantee search ranking position, featured placement, recommendation placement, homepage visibility, or any particular level of student exposure.
17.2 TeacherWave Right to Restrict or Remove Tutors
TeacherWave may remove, suspend, restrict, deprioritise, hide, or limit tutor accounts, tutor visibility, or tutor features where reasonably necessary to:
- protect students;
- maintain quality;
- enforce platform standards;
- investigate disputes;
- investigate fraud or abuse;
- comply with law;
- protect TeacherWave's operations, reputation, systems, or business interests.
TeacherWave may suspend, restrict, remove, or deprioritise tutor accounts or features without compensation where reasonably necessary to protect students, enforce platform standards, comply with legal obligations, investigate misconduct, or protect platform integrity.
17.3 Tutor Payout Holds and Disputes
Where legally and technically possible, TeacherWave may temporarily delay, hold, reserve, restrict, or review tutor payouts where:
- a refund dispute exists;
- a chargeback exists or is threatened;
- fraud is suspected;
- off-platform activity is suspected;
- abuse of the Platform is suspected;
- legal compliance checks are required;
- payment-provider review is ongoing.
TeacherWave may request evidence from tutors and students during investigations. TeacherWave will aim to act reasonably and in good faith during investigations.
17.4 Chargebacks and Payment Disputes
Users must not abuse chargebacks or payment disputes. Where a student initiates a chargeback or payment dispute, TeacherWave and/or the tutor may provide:
- lesson records;
- communications;
- attendance logs;
- booking confirmations;
- refund records;
- classroom access evidence;
- other relevant evidence.
To the extent permitted by law, a user who initiates a chargeback or payment dispute that is not legally justified — including an abusive, fraudulent, or bad-faith chargeback — is responsible for the resulting costs, which TeacherWave or the affected tutor may recover from that user. This does not affect a consumer's legitimate right to a chargeback or refund. Fraudulent or abusive chargebacks may also result in account suspension or termination.
17.5 Business and Enterprise Accounts
TeacherWave may offer business, corporate, enterprise, school, academy, or organisational learning programmes. Business accounts may include:
- employee learning access;
- lesson credit systems;
- employee dashboards;
- tutor assignment tools;
- reporting tools;
- fixed-price packages;
- centralised billing.
Businesses are responsible for:
- employee access management;
- authorised users;
- internal employee permissions;
- lawful use of the Platform.
Unless otherwise agreed:
- unused business credits may expire;
- credits may be non-refundable;
- TeacherWave may define package expiry periods;
- TeacherWave may allow or restrict transfer of lesson credits between employees.
17.6 Group Lessons
TeacherWave may permit tutors to offer group lessons, shared lessons, family lessons, corporate group sessions, or other multi-participant educational services. TeacherWave may impose:
- minimum participant requirements;
- maximum participant limits;
- subscription requirements;
- pricing requirements;
- attendance requirements;
- eligibility requirements;
- operational restrictions;
- quality standards.
Group lesson functionality may be modified, suspended, restricted, expanded, or discontinued at any time. Participation in group lesson programmes does not guarantee student numbers, bookings, earnings, or lesson volume.
17.7 Taxes and VAT
Tutors are solely responsible for all taxes, VAT obligations, invoicing obligations, accounting obligations, social security obligations, pension obligations, reporting obligations, business registration obligations, licensing obligations, and declarations required by applicable law.
TeacherWave has no obligation to calculate, withhold, collect, report, remit, monitor, verify, audit, or enforce any such obligations. TeacherWave does not act as a withholding agent, employer, payroll provider, accountant, tax adviser, tax representative, fiscal representative, or tax intermediary for tutors unless required by law.
TeacherWave subscription fees and platform charges are stated inclusive of any VAT or similar taxes that TeacherWave is required to charge. Users are responsible for providing accurate billing information.
17.8 Under-18 Users and Safeguarding
The Platform is intended for use by adults. Where a student is under 18, the parent or legal guardian is the contracting party, accepts these Terms on the minor's behalf, gives any required consents, manages payments, selects tutors, and is responsible for supervising the minor's use of TeacherWave.
Where TeacherWave relies on consent to process a minor's personal data and the minor is below the age of digital consent in their country of residence (15 years in Greece), such processing requires verifiable consent given or authorised by the holder of parental responsibility.
Students under 16 must have a parent or legal guardian nearby or present during lessons as required by TeacherWave policy. Parents and guardians remain responsible for monitoring lesson participation, online safety, and appropriate use of the Platform.
Tutors and users must act professionally and appropriately towards minors. TeacherWave may investigate safeguarding concerns and may report unlawful or dangerous conduct where legally required or appropriate.
17.9 Platform Availability
TeacherWave does not guarantee uninterrupted or error-free operation. Maintenance, updates, outages, technical failures, security incidents, third-party failures, or internet disruptions may affect availability.
17.10 No Scraping or Automated Extraction
Users must not scrape, harvest, copy, mine, extract, or use TeacherWave data, tutor profiles, student data, messages, reviews, or platform content for:
- competing services;
- AI model training;
- databases;
- automated marketing;
- spam;
- commercial reuse;
- unauthorised analytics.
17.11 No Professional Advice
Information provided by TeacherWave, including platform content, support communications, FAQs, AI-generated content, reports, recommendations, earnings information, guidance, and educational materials is provided for general informational purposes only and does not constitute legal, tax, accounting, financial, employment, educational, business, or professional advice.
18. Compliance, Moderation and Platform Protection
18.1 Digital Services and Immediate Access
TeacherWave provides digital platform services, subscriptions, marketplace access, educational tools, and related digital content.
Consumers in the EU/EEA normally have the right to withdraw from a distance contract within 14 days. Because the Platform provides digital services that can begin immediately, TeacherWave may ask the consumer at checkout to expressly request immediate performance and acknowledge the effect this may have on withdrawal rights, to the extent provided by the EU Consumer Rights Directive and its implementation in Greece.
For service contracts, where the consumer expressly requests performance to begin during the withdrawal period, the consumer may be required to pay a proportionate amount for services already provided before withdrawal, where permitted by law. For paid digital content not supplied on a tangible medium, the right of withdrawal may be lost only where the legally required consent, acknowledgement, and confirmation conditions are met.
Where the required express consent, acknowledgement, or confirmation is not obtained, the 14-day right of withdrawal continues to apply as provided by law. Nothing in this section removes rights that cannot legally be excluded under mandatory consumer protection laws.
18.2 Identity Verification and Fraud Prevention
TeacherWave may request identity verification, qualification verification, address verification, payment verification, or additional documentation where reasonably necessary. TeacherWave may use manual reviews, automated systems, fraud detection tools, security checks, and third-party verification providers. TeacherWave may suspend, limit, reject, or terminate accounts that:
- cannot be verified;
- appear fraudulent;
- use false identities;
- create security or legal risk.
18.3 Content Moderation and Monitoring
TeacherWave may moderate, review, remove, restrict, filter, or investigate profiles, messages, reviews, videos, images, lesson content, usernames, descriptions, uploaded files, or other user-generated content where reasonably necessary to:
- protect users;
- enforce platform standards;
- prevent fraud or abuse;
- comply with law;
- protect minors;
- maintain platform quality and reputation.
TeacherWave may use automated moderation systems, spam prevention systems, fraud detection tools, keyword filtering, and human moderation. Users must not upload unlawful, abusive, discriminatory, misleading, infringing, harmful, or inappropriate content.
18.4 Promotions, Discounts and Campaigns
TeacherWave may offer:
- discounts;
- promotional pricing;
- founding student offers;
- lifetime discounts;
- tutor incentives;
- referral campaigns;
- limited-time offers.
Unless expressly stated otherwise:
- promotions may be modified, paused, restricted, or ended at any time;
- promotions may be limited by country, user type, availability, time period, or eligibility criteria;
- promotional abuse may result in cancellation of benefits, suspension, or account termination.
Users must not abuse promotions, create multiple accounts for discounts, exploit referral systems, or manipulate campaigns unfairly.
Referral programmes, rewards, and incentives may be modified, suspended, or withdrawn at any time. TeacherWave may refuse rewards arising from self-referrals, duplicate accounts, fraudulent activity, or abuse.
18.5 Inactive Accounts
TeacherWave may archive, anonymise, restrict, or delete inactive accounts and associated data after extended inactivity where legally permitted and operationally appropriate. TeacherWave may provide notice before deletion where required by law or reasonably practical.
18.6 Third-Party Services and Integrations
TeacherWave may rely on third-party providers for:
- payments;
- hosting;
- analytics;
- communication;
- video classrooms;
- AI-assisted tools;
- security;
- cloud infrastructure;
- authentication;
- email delivery.
TeacherWave is not responsible for third-party outages, policy changes, pricing changes, failures, security incidents, or service interruptions outside TeacherWave's reasonable control. Third-party providers may have their own terms and privacy policies.
18.7 Good-Faith Dispute Resolution
Before initiating formal legal proceedings, users are encouraged to attempt good-faith communication and reasonable dispute resolution efforts through TeacherWave support processes where appropriate. Nothing in this section prevents users from exercising mandatory legal rights.
18.8 Fraud, Abuse and Manipulation
Users must not:
- create fake accounts;
- manipulate attendance records;
- falsely mark lessons as completed;
- falsify progress or test results;
- use stolen payment methods;
- engage in referral abuse;
- artificially manipulate rankings or reviews;
- commit fraud;
- misuse support systems;
- abuse refund systems.
TeacherWave may investigate suspicious behaviour and may suspend, restrict, terminate, or report accounts where legally appropriate.
18.9 Sanctions and Restricted Jurisdictions
Users must not use TeacherWave in violation of applicable sanctions, export controls, anti-money laundering laws, or trade restrictions. TeacherWave may restrict or refuse access where required for legal, regulatory, compliance, security, or operational reasons.
TeacherWave may restrict registrations, payments, payouts, subscriptions, or platform access in jurisdictions unsupported by payment providers, subject to sanctions, export controls, legal restrictions, compliance requirements, or operational risk considerations.
19. Platform Flexibility, Communications and Additional Legal Protections
19.1 Platform Changes and Feature Modifications
TeacherWave may modify, redesign, update, restrict, replace, suspend, discontinue, or remove any part of the Platform, including:
- features;
- tools;
- subscription benefits;
- pricing structures;
- classroom systems;
- AI-assisted tools;
- learning systems;
- progress tracking systems;
- integrations;
- tutor discovery systems;
- reward systems;
- B2B systems;
- dashboards;
- promotions.
TeacherWave will aim to provide reasonable notice for material changes where practical and legally required. TeacherWave is not liable for modifications, suspensions, or discontinuation of features where permitted by law.
References to planned, proposed, announced, previewed, developmental, or future platform features do not create a contractual obligation for TeacherWave to release, maintain, support, or continue such features.
19.2 Beta and Experimental Features
Some TeacherWave features may be identified as beta, testing, experimental, pilot, early-access, or developmental features. Such features may:
- contain errors or inaccuracies;
- change substantially;
- be interrupted;
- be withdrawn without notice;
- perform differently from final releases.
Users use beta or experimental features at their own risk where permitted by law.
19.3 Right to Refuse Service
Where legally permitted, TeacherWave reserves the right to refuse access, registrations, subscriptions, bookings, services, or Platform use where reasonably necessary for:
- safety;
- fraud prevention;
- legal compliance;
- sanctions compliance;
- platform integrity;
- abuse prevention;
- operational reasons;
- reputational protection.
19.4 No Agency, Partnership or Fiduciary Relationship
Nothing in these Terms creates:
- an employment relationship;
- partnership;
- agency relationship;
- joint venture;
- fiduciary relationship;
- franchise relationship
between TeacherWave and users unless expressly stated otherwise.
19.5 Survival of Clauses
Any provisions which by their nature should survive suspension, cancellation, or termination shall continue to apply after termination, including provisions relating to:
- payments;
- disputes;
- refunds;
- intellectual property;
- anti-circumvention;
- privacy;
- liability limitations;
- indemnity;
- governing law and jurisdiction.
19.6 Electronic Communications and Agreements
Users agree that TeacherWave may provide notices, agreements, updates, receipts, confirmations, disclosures, and communications electronically, including by:
- email;
- account notification;
- website notice;
- checkout confirmation;
- in-platform messaging.
Electronic communications and agreements may satisfy legal communication requirements where permitted by law.
19.7 Limitation Period for Claims
Where legally permitted, users agree that claims relating to TeacherWave or use of the Platform must be brought within a reasonable legal limitation period after the event giving rise to the claim. Nothing in this section removes rights that cannot legally be limited under mandatory law.
19.8 Analytics and Aggregated Data
TeacherWave may use anonymised, aggregated, de-identified, or statistical data relating to platform usage for:
- analytics;
- service improvement;
- platform optimisation;
- educational insights;
- fraud prevention;
- AI-assisted improvements;
- business intelligence;
- reporting.
TeacherWave will not intentionally publish personally identifiable user data without lawful basis or consent where required.
19.9 User Security Responsibilities
Users are responsible for:
- maintaining secure passwords;
- protecting account access;
- using secure devices and networks where practical;
- avoiding phishing and scams;
- reporting suspected unauthorised access.
TeacherWave is not responsible for losses caused by user negligence relating to account security where legally permitted.
19.10 Emergency, Safety and Legal Disclosures
TeacherWave may disclose information where reasonably necessary to:
- comply with law;
- respond to court orders or legal requests;
- prevent fraud;
- protect users;
- protect minors;
- prevent serious harm;
- investigate criminal activity;
- enforce these Terms;
- protect TeacherWave's rights, systems, staff, or users.
19.11 Priority of Terms
In the event of any inconsistency between these Terms, marketing materials, advertisements, FAQs, help-centre content, support communications, social media content, promotional materials, emails, or other TeacherWave communications, these Terms shall prevail to the fullest extent permitted by law.
19.12 Entire Agreement
These Terms, together with referenced policies and agreements, form the entire agreement between the user and TeacherWave relating to use of the Platform.
19.13 Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in effect.
19.14 Waiver
Failure by TeacherWave to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
19.15 Assignment and Business Transfer
TeacherWave may assign, transfer, restructure, merge, sell, or otherwise transfer its rights or obligations relating to the Platform as part of a business transaction, investment, acquisition, merger, or restructuring.
19.16 Language
These Terms may be translated into multiple languages. In the event of inconsistency, the English version may prevail unless applicable law requires otherwise.
