Student Terms

1. About TeacherWave

1.1 TeacherWave is an online tutoring marketplace and platform. It helps students find independent tutors, communicate with them, book lessons, access online classroom tools, manage subscriptions, and use learning support features.

1.2 TeacherWave is operated by Dale Daniel Earnshaw trading as TeacherWave, based in Greece.

1.3 TeacherWave is not a formal school, university, awarding body, government-recognised educational institution, or accredited examination provider unless this is expressly stated in writing for a specific service.

1.4 TeacherWave does not generally provide tutoring services directly. Tutoring services are provided by independent tutors. TeacherWave provides the marketplace, platform tools, subscription access, payment facilitation, safety tools, support processes, and related technology.

1.5 Tutor profiles, checkout pages, booking pages, and relevant platform screens may identify that lessons are provided by independent tutors and not by TeacherWave. You should read the relevant tutor profile, price, schedule, cancellation rules, and lesson information before committing to paid lessons with a tutor.

1.6 TeacherWave may provide educational tools, progress tracking, CEFR-based guidance, level checks, lesson history, study support, AI-assisted features, classroom tools, communication tools, and account features. These tools support learning but do not guarantee a particular result.

2. Who These Student Terms Apply To

2.1 These Student Terms apply to:

• students using TeacherWave;
• parents or guardians creating or managing an account for a minor;
• business users arranging lessons for staff or learners;
• any person paying for student access or tutor lessons;
• visitors who browse tutor profiles or use student-facing features.

2.2 In these Student Terms:

• "TeacherWave", "we", "us" and "our" mean Dale Daniel Earnshaw trading as TeacherWave.
• "Platform" means the TeacherWave website, apps, classroom tools, booking tools, messaging tools, payment flows, account areas, and related services.
• "Student" means the learner using TeacherWave.
• "Parent" or "guardian" means the adult legally responsible for a minor using TeacherWave.
• "Tutor" means an independent tutor offering lessons through TeacherWave.
• "TeacherWave Subscription" means the student's paid subscription for access to the TeacherWave platform and its student tools.
• "Tutor Subscription" or "Tutor Lesson Payment" means a separate payment, package, subscription, or arrangement for lessons with an independent tutor.
• "Minor" means a person under the age of legal majority in their country or region.

2.3 If you use TeacherWave on behalf of someone else, you confirm that you have authority to accept these Student Terms for that person and to manage payments, bookings, and communications on their behalf.

3. Student Accounts

3.1 To use student features, you may need to create an account and provide accurate information, including your name, email address, country or region, payment information, learning goals, and other information requested during registration or checkout.

3.2 You must keep your account information accurate and up to date. TeacherWave may rely on the information you provide for bookings, support, billing, safeguarding, dispute handling, and legal compliance.

3.3 Your account is personal to you unless TeacherWave expressly allows a parent, guardian, school, employer, or authorised administrator to manage it. You must not share login details, sell access, transfer your account, or allow unauthorised use.

3.4 You are responsible for keeping your password secure and for all activity on your account, except where caused by TeacherWave's failure to use reasonable security measures.

3.5 You must notify TeacherWave promptly if you believe your account has been accessed without permission or used fraudulently.

3.6 TeacherWave may require email verification, phone verification, payment verification, identity checks, fraud checks, or other account checks where reasonably necessary for security, safeguarding, legal compliance, payment protection, or platform protection.

4. Parents, Guardians and Minors

4.1 A student who is a minor may use TeacherWave only with the involvement and consent of a parent or legal guardian, unless TeacherWave expressly allows otherwise in a lawful and age-appropriate way.

4.2 For any minor using TeacherWave, the parent or guardian is the contracting party with TeacherWave. The parent or guardian accepts these Student Terms and the Master Terms on the minor's behalf, gives consent for the minor's use of the Platform, manages payment, supervises use, and is responsible for the minor's conduct on the Platform.

4.3 A parent or guardian must ensure that the minor uses TeacherWave safely, appropriately, and in accordance with these Student Terms.

4.4 Students under 16 must have a parent or guardian nearby or present during lessons where required by TeacherWave policy, safeguarding requirements, tutor requirements, local law, or the nature of the lesson.

4.5 TeacherWave may require a parent or guardian to approve bookings, manage messages, attend or remain nearby during lessons, provide consent for recordings where required, or respond to safeguarding or conduct concerns.

4.6 Tutors must not seek inappropriate private contact with minors outside the Platform. Students and parents must report any safeguarding concern, inappropriate contact, or unsafe behaviour to TeacherWave promptly.

4.7 TeacherWave may restrict, suspend, or end access where it reasonably believes a minor's use creates a safeguarding risk, legal risk, or breach of these Student Terms.

5. TeacherWave Platform Subscription

5.1 Students may need an active TeacherWave Subscription to use the Platform, including tutor search, booking tools, messages, classroom access, student dashboard, progress tracking, learning tools, support features, and platform protections.

5.2 The TeacherWave Subscription is a platform access subscription. It is separate from payments made for tutor lessons.

5.3 The payment area of the student profile may show the TeacherWave Subscription separately from Tutor Subscriptions or tutor lesson payments. These are different payments for different services.

5.4 The TeacherWave Subscription gives access to the Platform features included in the plan selected at checkout. Plan features, limits, prices, renewal periods, billing cycles, and supported payment methods may be shown at checkout or in the account area.

5.5 A TeacherWave Subscription does not guarantee:

• that a specific tutor will be available;
• that a tutor will accept a booking;
• that a specific lesson time will be available;
• that a student will achieve fluency, a particular CEFR level, exam success, academic grades, employment outcomes, immigration outcomes, or any other result;
• that a third-party classroom, payment, email, analytics, or hosting provider will be error-free.

5.6 TeacherWave may change, improve, remove, or replace Platform features from time to time. If a material change negatively affects a paid plan, TeacherWave will give reasonable notice where practical and where required by law.

6. Tutor Lesson Payments and Tutor Subscriptions

6.1 Tutor lessons are provided by independent tutors. Payments for tutor lessons, packages, lesson balances, or Tutor Subscriptions are separate from the TeacherWave Subscription.

6.2 You may see separate payment sections, labels, or records for:

• TeacherWave Subscription, which relates to platform access; and
• Tutor Subscriptions or tutor lesson payments, which relate to lessons provided by independent tutors.

6.3 Paying TeacherWave for platform access does not mean you have paid a tutor for lessons unless the checkout clearly says so.

6.4 Paying a tutor for lessons does not replace the need for an active TeacherWave Subscription where a TeacherWave Subscription is required for platform access.

6.5 Student cancellation of the TeacherWave Subscription does not automatically cancel tutor-facing lesson arrangements, Tutor Subscriptions, tutor packages, tutor lesson credits, or any separate agreement with a tutor, unless TeacherWave or the tutor expressly states otherwise.

6.6 TeacherWave may facilitate tutor payments, payment records, refunds, chargebacks, and payment evidence, but the tutor remains responsible for providing tutoring services and dealing fairly with lesson-specific issues, subject to TeacherWave platform rules and mandatory law.

6.7 Tutors are responsible for their own taxes, VAT, invoices, declarations, and legal obligations relating to tutor lesson payments, unless TeacherWave expressly states otherwise.

7. Cancellation of the TeacherWave Subscription

7.1 You may cancel your TeacherWave Subscription through the account area or another cancellation method made available by TeacherWave.

7.2 Cancelling your TeacherWave Subscription stops future renewals and immediately ends your access to the Platform: you are logged out and must reactivate the subscription to regain access.

7.3 Before you cancel, TeacherWave informs you of any remaining lessons, credits, or balance and warns you that you will lose access to the Platform immediately on cancellation. If you reactivate your TeacherWave Subscription before the end of the day on which you cancel, you can continue as normal and your remaining classes and balance are retained.

7.4 Your remaining classes, credits, and balance are not confiscated or removed by TeacherWave; they remain available until the end of the day on which you cancel. If you do not reactivate your TeacherWave Subscription by the end of that day, you choose to forfeit any remaining class balance or credits.

7.5 TeacherWave may restrict or suspend access immediately where it reasonably believes there is:

• failed payment;
• fraud or suspected fraud;
• chargeback abuse;
• serious breach of these Student Terms or the Master Terms;
• safeguarding risk;
• off-platform abuse;
• attempt to bypass the TeacherWave Subscription or TeacherWave fees;
• legal, regulatory, security, or platform-protection risk.

7.6 If you cancel your TeacherWave Subscription but continue trying to use TeacherWave tools, tutor contacts, platform information, or tutor relationships to bypass the Platform or continue lessons privately in a way that avoids TeacherWave fees or protections, TeacherWave may treat this as an attempt to bypass the TeacherWave Subscription and may restrict access.

7.7 Any refund of the TeacherWave Subscription is governed by these Student Terms, the Master Terms, checkout terms, mandatory consumer law, and any applicable cooling-off rights (see sections 12 and 27).

8. Tutor Lesson Balances, Credits and Access

8.1 Cancelling your TeacherWave Subscription does not cancel any separate Tutor Subscription, tutor lesson package, tutor lesson credits, or tutor-facing arrangement; those continue until you cancel them separately.

8.2 Your tutor lesson balances and credits are not confiscated by TeacherWave because you cancel the TeacherWave Subscription. However, because Platform access requires an active TeacherWave Subscription, you will lose access to the tools needed to use, book, manage, or attend those lessons when you are logged out on cancellation, unless you reactivate.

8.3 Your remaining classes and credits remain available until the end of the day on which you cancel. If you reactivate your TeacherWave Subscription by the end of that day, you keep them and can continue as normal. If you do not reactivate by the end of that day, you choose to forfeit any remaining class balance or credits.

8.4 You are informed before cancellation of any unused lessons or credits and warned that you will lose access to the Platform immediately on cancellation.

8.5 To obtain a refund for unused tutor lessons rather than forfeiting them, cancel the relevant Tutor Subscription, which is handled with your tutor in good faith (a refund applies where you cancel more than 12 hours before the affected lessons — see sections 11 and 12).

8.6 A tutor may offer rollover rules for unused lessons. Unless a tutor or checkout page states otherwise, up to two unused 50-minute classes may roll over to the next billing cycle while you remain subscribed to the same tutor and eligible to use the Platform. Further unused lessons may expire or not carry over, except where mandatory consumer rights, tutor policy, TeacherWave policy, or a fair resolution requires otherwise.

8.7 If there is a dispute about unused lessons, TeacherWave may review booking records, attendance logs, messages, payment records, classroom data, and other evidence to help resolve the issue.

8.8 Nothing in this section affects mandatory consumer rights or any refund, rescheduling, or fair-resolution rights relating to tutor-facing lesson payments.

9. Tutor Trial Lessons

9.1 Before committing to ongoing lessons with a tutor, students should review the tutor's profile, price, availability, trial options, cancellation terms, teaching style, qualifications, and any relevant checkout information.

9.2 Tutors offer a reduced-price trial lesson so you can assess whether that tutor is right for you. Trial lessons are always paid: they are not free and are not complimentary. Each tutor sets their own trial rate, which must be at least 50% of that tutor's standard lesson rate and no less than €10, and may not exceed their standard rate.

9.3 The trial rate shown at the point of booking is the amount you pay. Trial rates vary by tutor, so check the rate shown on the tutor's profile and at checkout before booking.

9.4 Trial lessons are subject to the same booking, cancellation, refund, and no-show terms as other lessons, as set out elsewhere in these Terms.

9.5 Booking a trial lesson does not guarantee future lesson availability, future pricing, tutor acceptance, or a specific learning outcome.

10. Booking Lessons

10.1 Students are responsible for booking lessons accurately, checking time zones, confirming dates and times, attending on time, and ensuring they have a suitable device, connection, microphone, camera where needed, and quiet learning environment.

10.2 Lesson duration, price, language, level, subject, format, materials, homework, and learning goals may vary by tutor.

10.3 A booking is not confirmed until the Platform or tutor confirms it according to the booking process.

10.4 Tutors may decline, reschedule, or cancel bookings where reasonably necessary due to availability, illness, safeguarding concerns, inappropriate student behaviour, technical problems, payment issues, or other legitimate reasons.

10.5 Students must not book lessons for illegal, inappropriate, abusive, romantic, sexual, discriminatory, exploitative, or non-educational purposes.

10.6 Students must attend lessons under the name and account used to book, unless TeacherWave and the tutor allow otherwise.

10.7 TeacherWave may set booking limits, anti-abuse rules, minimum notice periods, cancellation windows, attendance rules, or lesson package rules.

11. Student Cancellations, Tutor Cancellations and No-Shows

11.1 If you need to cancel or reschedule a lesson, you should do so through the Platform as early as possible.

11.2 If a student cancels more than 12 hours before the scheduled start time, the tutor is expected to provide a fair resolution. A fair resolution may include a refund, reschedule, replacement credit, rollover credit, or another reasonable solution, depending on the tutor's policy, Platform rules, payment status, and applicable law.

11.3 If a student cancels less than 12 hours before the scheduled start time, the tutor may treat the lesson as chargeable, unless mandatory law, tutor policy, TeacherWave policy, or a fair resolution requires otherwise. Tutors should act reasonably in genuine emergencies.

11.4 If a student does not attend, arrives too late, or is unable to participate because of their own technical issue, the tutor may treat the lesson as attended or chargeable, unless the tutor agrees otherwise or mandatory law requires otherwise.

11.5 If a tutor cancels, fails to attend, arrives materially late, or cannot deliver the lesson due to the tutor's issue, the tutor should provide a fair resolution. This may include a refund, reschedule, replacement lesson, or credit.

11.6 If both parties experience technical problems, or if a third-party classroom provider is unavailable, TeacherWave may review available evidence and assist with a reasonable resolution. TeacherWave does not guarantee compensation for every technical issue unless required by law.

11.7 Repeated cancellations, no-shows, late attendance, refund abuse, chargeback abuse, or disruptive conduct may lead to account restrictions.

12. Refunds, Reschedules and Lesson Credits

12.1 Refunds and credits depend on the type of payment:

• TeacherWave Subscription fees relate to platform access.
• Tutor lesson payments relate to lessons provided by independent tutors.

12.2 TeacherWave platform fees are separate from tutor lesson payments. A refund or cancellation of one does not automatically refund or cancel the other.

12.3 Where a tutor-specific refund is due, the tutor must process it to the student's original paying account where technically possible, within 48 hours of receiving the request (provided this falls within any legally required timeframe), and must provide TeacherWave with evidence of the transaction. Without that evidence, the refund is treated as not actioned.

12.4 TeacherWave may assist with refund requests, evidence collection, payment records, support tickets, dispute review, or platform-level enforcement. TeacherWave is not automatically liable for tutor-specific refunds unless required by law or expressly stated in writing.

12.5 If TeacherWave receives a valid refund request relating to platform access, TeacherWave will assess it under these Student Terms, the Master Terms, checkout terms, applicable consumer law, and any relevant cooling-off rights.

12.6 Refunds may be refused where the request is abusive, fraudulent, inconsistent with the agreed cancellation rules, based on misuse of the Platform, or otherwise not required by law.

12.7 Chargebacks should be used only where genuinely appropriate. TeacherWave may restrict accounts, suspend access, recover costs, or dispute chargebacks where it reasonably believes there is chargeback abuse, fraud, or misuse.

12.8 Nothing in this section limits mandatory consumer rights, statutory refund rights, or remedies that cannot legally be excluded.

13. Payments, Billing, Taxes and Price Changes

13.1 Prices, billing cycles, subscription periods, plan features, tutor lesson prices, taxes, currency, and payment terms may be shown at checkout, in the account area, or on tutor profiles.

13.2 You authorise TeacherWave and its payment processors to charge the payment method provided for the TeacherWave Subscription and any other payments you authorise through the Platform.

13.3 You must keep payment details accurate and ensure that your payment method has sufficient funds.

13.4 If payment fails, TeacherWave may retry payment, notify you, pause access, restrict features, cancel renewal, or suspend the account, subject to applicable law and payment-provider rules.

13.5 TeacherWave may change platform subscription prices by giving reasonable advance notice where required. For recurring TeacherWave Subscriptions, TeacherWave will normally give at least 30 days' notice of material price increases unless the change is required sooner by law, tax, currency, payment-provider requirements, security needs, or another urgent reason.

13.6 If you do not agree to a price increase, you may cancel before the new price takes effect. Cancellation stops future renewals, subject to these Student Terms.

13.7 Prices may include applicable VAT or taxes where required. Tax treatment may depend on your location, status, billing details, and the nature of the service.

13.8 Tutors are responsible for their own tax obligations, VAT obligations, declarations, invoices, and local business compliance relating to tutor lesson payments, unless TeacherWave expressly states otherwise.

13.9 TeacherWave may use third-party payment providers. TeacherWave is not responsible for payment-provider outages, bank fees, foreign exchange fees, card issuer decisions, or payment delays outside TeacherWave's reasonable control.

14. Off-Platform Contact, Payments and Anti-Bypass Rules

14.1 TeacherWave invests in tutor discovery, matching, communication, booking tools, subscriptions, payment facilitation, support, safeguarding, dispute review, and platform protection. To protect the Platform, students must not bypass TeacherWave.

14.2 Students must not:

• use TeacherWave to find a tutor and then move lessons, payment, bookings, or communications outside the Platform to avoid TeacherWave fees or protections;
• ask tutors to accept direct payment outside TeacherWave for lessons introduced through TeacherWave;
• share payment details, external booking links, or private contact details primarily to bypass TeacherWave;
• pressure tutors to avoid TeacherWave rules, fees, subscriptions, or platform protections;
• cancel or avoid a TeacherWave Subscription while continuing to use TeacherWave-introduced tutor relationships in a way designed to bypass the Platform;
• create multiple accounts to obtain free trials, discounts, refunds, credits, or promotions unfairly;
• use screenshots, copied profile information, messages, or tutor details to solicit lessons outside TeacherWave.

14.3 Attempting to bypass the TeacherWave Subscription or platform fees is a serious breach and may lead to immediate restriction, suspension, termination, loss of promotional benefits, recovery of unpaid amounts, and other remedies permitted by law.

14.4 TeacherWave may monitor platform messages and activity where legally permitted and reasonably necessary to detect off-platform abuse, fraud, safeguarding risks, payment abuse, or serious breach.

14.5 Nothing in this section prevents lawful communication that TeacherWave expressly permits or that is required for safety, accessibility, legal compliance, or emergency reasons.

15. Independent Tutors and Marketplace Status

15.1 Tutors on TeacherWave are independent service providers. They are not employees, workers, agents, partners, representatives, or franchisees of TeacherWave.

15.2 Tutors control their own teaching approach, lesson preparation, availability, subject focus, lesson style, and professional practice, subject to TeacherWave platform rules, safeguarding standards, conduct requirements, verification requirements, and applicable law.

15.3 TeacherWave does not automatically supervise, direct, or control tutor teaching delivery. TeacherWave may take action where a tutor breaches platform rules, raises safety concerns, misleads students, fails to meet platform requirements, or creates legal or reputational risk.

15.4 When you book lessons, the tutoring service is provided by the independent tutor, not by TeacherWave, unless TeacherWave clearly states otherwise for a specific service.

15.5 TeacherWave may remove, suspend, demote, restrict, or investigate tutor profiles for compliance, safety, quality, legal, or platform-protection reasons.

16. Tutor Profiles, Verification and Qualifications

16.1 Tutor profiles may include information provided by tutors, such as qualifications, experience, teaching style, languages, availability, pricing, videos, photos, reviews, and certificates.

16.2 Tutors are responsible for keeping their profile information accurate, honest, lawful, and up to date.

16.3 TeacherWave may carry out verification checks, qualification checks, profile reviews, identity checks, certificate reviews, or compliance checks. These checks are limited in scope and do not guarantee that all tutor information is complete, accurate, current, or independently verified.

16.4 TeacherWave does not guarantee criminal-background checks, criminal-record checks, safeguarding registry checks, barred-list checks, police checks, or equivalent checks unless TeacherWave expressly states in writing that such checks have been completed for a specific tutor or category of tutor.

16.5 Tutor declarations, verification badges, profile checks, certificates, and qualification reviews are limited in scope. They should not be treated as a full guarantee of suitability, safety, character, teaching quality, legal compliance, or background.

16.6 Unless TeacherWave grants a written exception, tutors must hold a minimum 120-hour TEFL/TESOL certificate or an approved equivalent qualification. TeacherWave may accept equivalents, higher qualifications, relevant teaching credentials, formal teaching licences, language-teaching degrees, CELTA, DELTA, PGCE, state teaching qualifications, or other qualifications at its discretion.

16.7 Students and parents should make their own assessment before booking a tutor and should report concerns promptly.

17. Tutor Search, Ranking and Recommendations

17.1 TeacherWave may rank, sort, recommend, display, or promote tutors using automated and manual factors.

17.2 Main ranking factors may include:

• student preferences;
• tutor subscription tier;
• tutor availability;
• reviews and ratings;
• responsiveness;
• profile quality and completeness;
• lesson history;
• student engagement;
• compliance history;
• safeguarding or conduct history;
• pricing and location signals;
• language, subject, level, and availability fit;
• platform testing, experiments, and performance data.

17.3 Ranking is not a guarantee that a tutor is the best tutor for a student or that a tutor will achieve a specific result.

17.4 Sponsored placement, subscription tier, promotions, or platform testing may affect tutor visibility where permitted by law and platform rules.

18. Learning Outcomes and Educational Tools

18.1 TeacherWave may provide progress tracking, level checks, CEFR-based guidance, lesson summaries, learning plans, quizzes, practice tools, AI-assisted support, and other educational features.

18.2 These tools are for guidance and support only. They do not guarantee fluency, a particular CEFR level, exam results, school grades, job outcomes, immigration outcomes, university admission, professional licensing, or any other result.

18.3 CEFR levels, level checks, progress scores, and learning recommendations are estimates or guidance unless expressly stated otherwise. They are not official certification.

18.4 AI-assisted tools may be inaccurate, incomplete, outdated, or unsuitable for a student's specific circumstances. Students should use their own judgement and tutor guidance.

18.5 TeacherWave is not responsible for decisions made by students, parents, employers, schools, universities, immigration bodies, exam boards, or third parties based on Platform tools or tutor feedback.

19. Classroom Rules, Recordings and Safeguarding

19.1 Lessons may take place through TeacherWave classroom tools or approved third-party video/classroom providers.

19.2 TeacherWave may record lessons, store lesson data, review lesson recordings, or access classroom information where legally permitted and reasonably necessary for safeguarding, child protection, dispute handling, fraud prevention, support, quality review, legal compliance, platform protection, or enforcement of these Student Terms.

19.3 Where required by law, TeacherWave will seek consent or provide notice for recording. If you do not consent to recording where recording is required for a feature, safety purpose, or specific lesson, you may not be able to use that lesson or feature.

19.4 Access to recordings should be limited to authorised persons with a legitimate need, such as support, safeguarding, compliance, legal, or dispute-review personnel.

19.5 Recordings and classroom data will be retained in line with the TeacherWave Privacy Policy, retention rules, legal obligations, safeguarding needs, and dispute requirements.

19.6 Students, parents, and tutors must not record, copy, download, screenshot, stream, publish, or share lessons, messages, tutor materials, student images, student voices, or personal data outside the Platform without all legally required permissions and TeacherWave's consent where required.

19.7 TeacherWave may remove a student from a lesson, restrict classroom access, disable messaging, or suspend an account where there is a safeguarding concern, inappropriate behaviour, harassment, discrimination, sexual conduct, abuse, illegal content, or other safety risk.

20. Student Conduct and Platform Safety

20.1 Students must use TeacherWave lawfully, respectfully, and for genuine educational purposes.

20.2 Students must not:

• harass, threaten, abuse, intimidate, exploit, discriminate against, or bully tutors or other users;
• use sexual, romantic, explicit, exploitative, or inappropriate behaviour or content;
• send illegal, harmful, defamatory, hateful, violent, fraudulent, or misleading content;
• share another person's personal data without permission;
• attempt to access another account or bypass security;
• scrape, copy, harvest, reverse engineer, or misuse Platform data;
• interfere with the Platform, introduce malware, overload systems, or attempt unauthorised access;
• misuse discounts, trials, refunds, credits, subscriptions, or promotions;
• make false complaints, fake reviews, or malicious reports;
• use TeacherWave for unlawful, harmful, or non-educational purposes.

20.3 TeacherWave may investigate suspected misconduct and may use account data, messages, booking data, payment data, classroom data, recordings, technical logs, and support records where legally permitted.

20.4 Serious safety issues may be reported to payment providers, law enforcement, regulators, safeguarding bodies, schools, parents, guardians, or other authorities where legally permitted or required.

21. Reviews, Ratings and Feedback

21.1 Students may be able to leave reviews, ratings, feedback, or comments about tutors.

21.2 Reviews must be honest, fair, lawful, relevant, and based on genuine experience.

21.3 Students must not post fake reviews, paid reviews, abusive reviews, discriminatory reviews, defamatory content, private information, threats, or reviews intended to pressure tutors into refunds, free lessons, or off-platform arrangements.

21.4 TeacherWave may moderate, remove, hide, edit, investigate, or refuse reviews where legally permitted and reasonably necessary to protect users, comply with law, prevent abuse, or maintain platform integrity.

21.5 TeacherWave does not guarantee that every review is accurate, complete, current, or representative.

22. Messaging, Monitoring and Platform Communications

22.1 TeacherWave may provide messaging, notifications, email communications, support tickets, reminders, booking updates, billing notices, and other communications.

22.2 TeacherWave may monitor or review platform messages where legally permitted and reasonably necessary for safeguarding, fraud prevention, off-platform bypass detection, dispute handling, support, legal compliance, enforcement, service improvement, or platform protection.

22.3 Students must not use platform messaging to bypass TeacherWave, harass tutors, send inappropriate content, share illegal materials, solicit private contact for improper purposes, or misuse tutor information.

22.4 Important notices may be sent by email, account notification, dashboard message, or other reasonable method. You are responsible for keeping contact details up to date.

22.5 Service communications, billing notices, safety notices, legal notices, and account messages are not marketing and may be sent where necessary to operate the Platform.

23. Privacy, Cookies and Personal Data

23.1 TeacherWave processes personal data in accordance with its Privacy Policy and Cookie Policy.

23.2 TeacherWave may collect and process account information, payment information, subscription status, lesson bookings, lesson history, progress data, level test results, messages, support requests, IP address, device information, cookies, analytics data, payment identifiers, fraud-prevention data, classroom attendance logs, recordings where enabled or legally permitted, and other data described in the Privacy Policy.

23.3 TeacherWave may share personal data with tutors you engage, payment processors, hosting providers, email providers, analytics providers, classroom/video providers, support tools, fraud-prevention providers, legal advisers, accountants, regulators, courts, or authorities where necessary and lawful.

23.4 Tutors may act as independent data controllers for personal data they process in connection with tutoring they provide. Tutors are responsible for their own lawful use of student data outside TeacherWave's direct control.

23.5 Personal data may be processed internationally. Where required, TeacherWave will use appropriate safeguards such as adequacy decisions, standard contractual clauses, or other lawful transfer mechanisms.

23.6 Non-essential cookies and similar technologies will be used only where legally permitted and, where required, after consent.

23.7 Students and parents may have data-protection rights, such as access, correction, deletion, objection, restriction, portability, withdrawal of consent, or complaint rights, depending on applicable law.

24. Intellectual Property and Lesson Materials

24.1 TeacherWave owns or licenses the Platform, software, brand, design, technology, content, tools, dashboards, databases, and other TeacherWave materials.

24.2 Tutors may own or license their own lesson materials, slides, exercises, homework, documents, videos, audio, methods, and teaching content.

24.3 Students receive a limited, personal, non-transferable licence to use lesson materials for their own learning, unless the tutor or TeacherWave grants broader rights.

24.4 Students must not copy, resell, publish, upload, share, record, distribute, scrape, or commercially exploit TeacherWave materials, tutor materials, classroom recordings, lesson content, or Platform data without permission.

24.5 If you upload content to TeacherWave, such as profile information, messages, homework, documents, answers, reviews, or learning materials, you grant TeacherWave a limited licence to host, process, display, transmit, store, review, and use that content as necessary to operate, protect, improve, and enforce the Platform, subject to the Privacy Policy and applicable law.

25. Technical Requirements and Third-Party Services

25.1 Students are responsible for having a compatible device, stable internet connection, suitable browser or app, microphone, speakers, camera where needed, and a quiet learning environment.

25.2 TeacherWave may use third-party providers for payments, hosting, email, classroom/video tools, analytics, fraud prevention, support, security, and other functions.

25.3 TeacherWave is not responsible for failures caused by your device, internet connection, browser, local restrictions, firewalls, bank, payment provider, third-party provider, app store, or other services outside TeacherWave's reasonable control.

25.4 TeacherWave may suspend or limit access for maintenance, updates, security, emergency fixes, provider outages, legal requirements, or technical reasons.

25.5 TeacherWave will try to keep the Platform available but does not guarantee uninterrupted or error-free service.

26. International Use and Local Laws

26.1 TeacherWave operates from Greece and may be used by students, parents, tutors, and business users in different countries.

26.1A These Student Terms are intended to apply globally to the maximum extent permitted by law, while preserving mandatory local rights that cannot legally be excluded.

26.2 You are responsible for ensuring that you may lawfully use TeacherWave in your country or region and that your use does not breach local laws, sanctions, export controls, payment restrictions, age rules, education rules, consumer rules, or other local requirements.

26.3 TeacherWave may restrict access, payments, tutor availability, countries, regions, currencies, features, or services where it reasonably believes this is required for legal, tax, sanctions, payment, safety, operational, or compliance reasons.

26.4 TeacherWave does not guarantee that every feature, tutor, payment method, promotion, trial, language, classroom tool, or support option is available in every country.

26.5 If local law gives you mandatory rights that cannot be excluded, those rights continue to apply. These Student Terms apply only to the maximum extent permitted by applicable law.

26.6 Students must not use TeacherWave from a country, region, or situation where use would be illegal or would expose TeacherWave, tutors, or other users to unlawful risk.

27. Consumer Rights and Cooling-Off Rights

27.1 If you are a consumer, you may have mandatory rights under the law of your country or region. Nothing in these Student Terms limits those rights.

27.2 If you are located in the European Union, European Economic Area, United Kingdom, or another jurisdiction with distance-contract or digital-service cooling-off rules, you may have a right to cancel certain online purchases within a cooling-off period, commonly 14 days, subject to legal exceptions.

27.3 Where you request immediate access to digital content, digital services, platform access, subscription features, tutor booking tools, or lessons during a cooling-off period, TeacherWave may ask you to acknowledge that your cancellation rights may be lost, reduced, or subject to a pro-rata charge to the extent permitted by law.

27.4 If a tutor lesson has already been fully performed with your express request or consent where required, refund rights may be limited to the extent permitted by law.

27.5 TeacherWave will provide legally required pre-contract information, price information, trader information, cancellation information, and confirmation of purchase where required.

27.6 Consumers should contact TeacherWave promptly if they believe a statutory cancellation, refund, or conformity right applies.

28. Suspension, Restriction and Termination

28.1 TeacherWave may suspend, restrict, lock, or terminate a student account where TeacherWave reasonably believes there is:

• failed payment;
• fraud, suspected fraud, or identity misuse;
• chargeback abuse or payment abuse;
• serious breach of these Student Terms or the Master Terms;
• off-platform bypass or attempted bypass;
• safeguarding concern;
• harassment, abuse, discrimination, sexual misconduct, exploitation, or unsafe behaviour;
• illegal content or unlawful activity;
• misuse of trials, promotions, refunds, subscriptions, or credits;
• misuse of tutor personal data or Platform data;
• security risk, technical risk, or unauthorised access;
• legal, regulatory, sanctions, tax, payment-provider, or platform-protection reason.

28.2 TeacherWave may act immediately where necessary to protect students, minors, tutors, users, payments, data, the Platform, or legal compliance.

28.3 Where practical and appropriate, TeacherWave may give notice and an opportunity to respond. TeacherWave may limit notice where doing so would create safety, fraud, legal, evidential, or security risk.

28.4 Suspension or termination of platform access may affect your ability to book, attend, message, access recordings, use credits, or manage tutor arrangements through TeacherWave.

28.5 Any refund following suspension or termination will depend on the reason for suspension, the type of payment, services already provided, mandatory law, and any applicable policy.

29. Disputes Between Students and Tutors

29.1 TeacherWave encourages students and tutors to resolve lesson issues fairly and promptly through the Platform.

29.2 If a dispute cannot be resolved directly, TeacherWave may review available evidence, including bookings, messages, attendance logs, classroom data, payment records, recordings where available and legally permitted, support tickets, and user history.

29.3 TeacherWave may recommend or require a fair resolution, including a reschedule, refund, credit, warning, account restriction, tutor action, or other platform action, where permitted by law and platform rules.

29.4 TeacherWave is not a court, regulator, arbitration body, or legal adviser. TeacherWave's involvement in a dispute does not make TeacherWave automatically liable for tutor conduct or student conduct.

29.5 Students and tutors remain responsible for their own legal obligations, communications, evidence, and claims.

30. Disclaimers

30.1 TeacherWave provides the Platform on an "as is" and "as available" basis to the maximum extent permitted by law.

30.2 TeacherWave does not guarantee:

• that a tutor will be available at a specific time;
• that a tutor will accept a booking;
• that a student will achieve a specific learning outcome;
• that tutor profile information is complete, current, or error-free;
• that every tutor has passed criminal-background checks unless expressly stated;
• that Platform features will be uninterrupted, error-free, or available in every country;
• that AI-assisted or automated tools will always be accurate;
• that third-party providers will operate without interruption.

30.3 TeacherWave does not provide legal, immigration, medical, psychological, financial, tax, professional, or official academic advice.

30.4 Students and parents are responsible for assessing whether a tutor, lesson, learning plan, or Platform feature is suitable for their needs.

31. Limitation of Liability

31.1 Nothing in these Student Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, wilful misconduct, gross negligence where applicable, mandatory consumer rights, statutory rights, or any direct liability that cannot legally be excluded.

31.2 To the maximum extent permitted by law, TeacherWave is not liable for:

• indirect, incidental, special, punitive, exemplary, or consequential loss;
• loss of profit, revenue, business, opportunity, goodwill, data, reputation, or anticipated savings;
• loss caused by tutor conduct, tutor non-attendance, tutor teaching quality, tutor tax status, tutor misrepresentation, or tutor breach;
• student conduct, parent conduct, account misuse, or unauthorised account sharing;
• third-party payment-provider failures, bank issues, card issuer decisions, foreign exchange fees, or chargeback delays;
• internet outages, device issues, browser issues, classroom-provider problems, hosting failures, or events outside TeacherWave's reasonable control;
• failure to achieve fluency, CEFR level, exam result, academic result, job result, immigration result, or other learning outcome;
• loss caused by off-platform arrangements or direct dealings outside TeacherWave.

31.3 To the maximum extent permitted by law, TeacherWave's total liability to a student, parent, guardian, or paying user for all claims arising out of or relating to the Platform, TeacherWave Subscription, or these Student Terms is limited to the amount paid directly to TeacherWave for the TeacherWave Subscription in the 12 months before the event giving rise to the claim.

31.4 The cap in section 31.3 does not limit mandatory consumer rights, statutory remedies, direct liability that cannot legally be excluded, or liability that applicable law does not allow TeacherWave to cap.

31.5 If you are a consumer, these limitations apply only to the extent permitted by mandatory consumer law.

32. Indemnity and Responsibility

32.1 If you are not acting as a consumer, you agree to indemnify and hold TeacherWave harmless from claims, losses, liabilities, damages, fines, penalties, costs, and expenses arising from:

• your breach of these Student Terms or the Master Terms;
• your unlawful use of the Platform;
• your misuse of tutor information, student information, personal data, recordings, or lesson materials;
• fraud, chargeback abuse, payment abuse, or false claims;
• off-platform bypass or attempted bypass;
• your content, reviews, messages, or uploaded materials;
• your tax, regulatory, or local-law obligations;
• your account misuse or unauthorised sharing of access.

32.2 If you are a consumer, you are responsible for losses TeacherWave suffers because of your breach, negligence, fraud, unlawful conduct, misuse of the Platform, or intentional wrongdoing, but only to the extent permitted by applicable consumer law and only where the loss is reasonably foreseeable or legally recoverable.

32.3 Parents and guardians are responsible for a minor's use of TeacherWave, conduct, bookings, payments, and breaches to the extent permitted by law.

33. Changes to These Student Terms

33.1 TeacherWave may update these Student Terms from time to time to reflect changes in law, business model, platform features, subscription terms, payment systems, safety rules, tutor marketplace operations, or compliance requirements.

33.2 TeacherWave will give reasonable notice of material changes where required by law or where the change materially affects paid access.

33.3 Continued use of TeacherWave after updated Student Terms take effect means you accept the updated Student Terms, unless mandatory law requires a different process.

33.4 If you do not agree to updated Student Terms, you should stop using the Platform and cancel future renewals where applicable.

34. Governing Law, Jurisdiction and Mandatory Rights

34.1 These Student Terms are governed by the laws of Greece, subject to any mandatory consumer protections that apply in the student's country or region and cannot legally be excluded.

34.2 If you are a consumer, nothing in these Student Terms deprives you of mandatory rights or mandatory court protections available under the law of your habitual residence.

34.3 If you are not a consumer, the courts of Ioannina, Greece will have exclusive jurisdiction over disputes arising out of or relating to these Student Terms, the Platform, or the TeacherWave Subscription, unless mandatory law requires otherwise.

34.4 If you are a consumer, disputes may be brought in the courts permitted by applicable consumer law. Any jurisdiction wording in these Student Terms applies only to the extent legally permitted.

34.5 TeacherWave may seek urgent injunctive or protective relief in any court of competent jurisdiction where necessary to protect its Platform, intellectual property, users, safety, confidential information, data, or business.

34.6 Language. These Student Terms may be translated into other languages for convenience. In the event of inconsistency, the English version may prevail unless applicable law requires otherwise. Nothing in this clause deprives a consumer of protections available under the law of the language in which the agreement was presented and concluded.
